Terms of Service

These Terms of Service ("Terms") govern your access to and use of the HumanRail platform, APIs, SDKs, documentation, and related services (collectively, the "Service") provided by HumanRail ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

HumanRail provides an AI-fallback human task routing platform. When an AI agent encounters a task requiring human judgment, it can use the HumanRail API to route that task to a pool of vetted human workers. Workers complete the task, their responses are verified through our multi-stage verification pipeline, workers are paid, and a structured, schema-validated result is returned to the calling application.

The Service includes the HumanRail API, client SDKs (Python, TypeScript, Go), the customer dashboard, webhook delivery, and all related infrastructure.

2. Account Terms

2.1 Registration. To use the Service, you must create an account by providing accurate and complete information about yourself or your organization. You must be at least 18 years old and have the legal authority to bind your organization to these Terms.

2.2 API Keys. You are responsible for maintaining the security and confidentiality of your API keys. API keys grant full access to your account. Do not share them, commit them to source control, or expose them in client-side code. You are responsible for all activity that occurs under your API keys.

2.3 Account Security. You must promptly notify us at [email protected] if you become aware of any unauthorized access to your account or API keys. We reserve the right to suspend your account if we detect suspicious activity.

2.4 Acceptable Use. You agree not to use the Service to:

  • Submit tasks containing illegal content or content that violates the rights of others
  • Attempt to circumvent rate limits, security measures, or access controls
  • Interfere with the integrity or performance of the Service
  • Submit tasks designed to collect personal information from workers beyond what is necessary for task completion
  • Use the Service in violation of any applicable law or regulation

3. Payment Terms

3.1 Prepaid Balance. The Service operates on a prepaid balance model. You must deposit funds into your account before creating tasks. Deposits are processed via Stripe and may be made in USD.

3.2 Task Costs. Each task incurs a cost consisting of the worker payout amount plus a platform fee (as described on our pricing page). Task costs are deducted from your prepaid balance when a task is created. If your balance is insufficient, the task creation will fail.

3.3 No Refunds on Completed Tasks. Once a task has been verified and the worker has been paid, the task cost is non-refundable. Refunds may be issued at our discretion for tasks that fail due to platform errors.

3.4 Unused Balance. Unused prepaid balances are non-refundable except as required by applicable law. If you close your account, you may request a refund of your remaining balance, subject to a minimum withdrawal amount and any applicable fees.

3.5 Currency. All balances, task costs, and payouts are tracked internally in satoshis (the smallest unit of Bitcoin). USD amounts are converted at the time of deposit and payout using current market rates.

4. Data Handling

4.1 Task Payloads. Tasks submitted through the Service may contain sensitive data, including personally identifiable information (PII). You are responsible for ensuring that task payloads comply with all applicable data protection laws and that you have the necessary consent or legal basis to process such data.

4.2 Data Minimization. HumanRail applies data minimization by default. Task payloads are redacted and masked before being presented to workers. Workers see only the information necessary to complete the task, scoped to their trust tier.

4.3 Data Retention. Task data (including payloads, outputs, and metadata) is retained for 90 days by default after task completion. After this period, task data is permanently deleted. You may request earlier deletion by contacting us. Account-level data is retained for the duration of your account plus one year.

4.4 Data Processing. By using the Service, you authorize HumanRail to process task data as necessary to provide the Service, including routing tasks to workers, running verification, and generating aggregate analytics. See our Privacy Policy for full details.

5. Worker Terms

5.1 Independent Contractors. Workers on the HumanRail platform are independent contractors, not employees of HumanRail or of any customer. HumanRail does not control the manner or method by which workers complete tasks, only the quality standards and deadlines.

5.2 No Direct Relationship. You do not have a direct contractual relationship with individual workers. All worker interactions are mediated through the HumanRail platform. You may not attempt to recruit, contact, or solicit workers outside of the platform.

5.3 Worker Payments. Workers are paid via Lightning Network (Bitcoin) or fiat rails upon successful task verification. Payment is handled entirely by HumanRail. You are not responsible for worker compensation, benefits, or tax obligations.

6. Service Level Commitments

6.1 Beta Disclaimer. The Service is currently in beta. During the beta period, we provide the Service on a "best-effort" basis. We do not guarantee specific uptime percentages, response times, or task completion rates during beta.

6.2 Task SLAs. You may specify a deadline (in seconds) for each task. HumanRail will make commercially reasonable efforts to route, complete, and verify tasks within the specified deadline. If a task cannot be completed within the SLA, it will be marked as "expired" and you will not be charged for the worker payout.

6.3 Enterprise SLAs. Enterprise customers may negotiate specific uptime and performance SLAs under a separate agreement. Contact [email protected] for details.

7. Intellectual Property

7.1 Your Data. You retain all rights to the task data you submit to the Service. HumanRail does not claim ownership of your task payloads or outputs.

7.2 License to Provide the Service. You grant HumanRail a limited, non-exclusive license to process your task data solely as necessary to provide the Service (routing, verification, delivery). This license terminates when your data is deleted.

7.3 HumanRail IP. The Service, including its routing algorithms, verification pipeline, worker reputation system, and all associated software, is the proprietary property of HumanRail. Nothing in these Terms grants you any right to our intellectual property except the limited right to use the Service as described herein.

7.4 Open Source SDKs. The HumanRail client SDKs are licensed under the MIT License. The terms of that license apply to your use of the SDKs independently of these Terms.

8. Limitation of Liability

8.1 Cap on Liability. To the maximum extent permitted by applicable law, HumanRail's total aggregate liability to you for all claims arising out of or relating to the Service shall not exceed the total fees paid by you to HumanRail during the twelve (12) months preceding the claim.

8.2 Exclusion of Damages. In no event shall HumanRail be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of whether HumanRail was advised of the possibility of such damages.

8.3 Basis of the Bargain. The limitations in this section reflect the allocation of risk between the parties and are an essential basis of the bargain between us. The Service would not be provided without these limitations.

9. Dispute Resolution

9.1 Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be in the State of Delaware, United States.

9.2 Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

9.3 Exceptions. Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

10. Termination

10.1 By You. You may terminate your account at any time by contacting us at [email protected] or through the customer dashboard. Provide at least 30 days' notice if you have tasks in progress.

10.2 By HumanRail. We may terminate or suspend your account with 30 days' written notice for any reason. We may terminate or suspend your account immediately without notice if you breach these Terms, engage in fraudulent activity, or use the Service in a manner that threatens the security or integrity of the platform.

10.3 Effect of Termination. Upon termination, your API keys will be revoked and you will no longer be able to create new tasks. Tasks already in progress will be completed or cancelled at our discretion. Your task data will be retained for 90 days after termination, after which it will be permanently deleted.

11. Beta Disclaimer

The Service is currently offered as a beta product. Beta features and capabilities may change, be modified, or be discontinued at any time without notice. We may introduce breaking changes to the API with reasonable advance notice posted to our documentation and status page.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HUMANRAIL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. General Provisions

12.1 Governing Law. These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

12.2 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and HumanRail regarding the Service and supersede all prior agreements and understandings.

12.3 Severability. If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

12.4 Waiver. The failure of HumanRail to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

12.5 Assignment. You may not assign these Terms or any rights or obligations hereunder without our prior written consent. HumanRail may assign these Terms in connection with a merger, acquisition, or sale of assets.

12.6 Modifications. We may modify these Terms at any time by posting the updated version on our website. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
